The agreement for using OyeHello.

These terms set out the rules for your account, how you can use the platform, what you pay, and the limits of our responsibility. Please read them carefully.

The short version

Use OyeHello lawfully and only to call people you are allowed to call. Pay for what you use through your wallet. Do not abuse the platform or break calling rules. We provide the service as described, keep it running as best we can, and limit our liability. Either side can end the agreement per the terms below.

Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and Hotreloads Digital Private Limited ("Hotreloads", "we", "us", "our"), which operates the OyeHello AI voice agent platform. They govern your access to and use of our website, dashboard, APIs, and the calling services connected to your account (together, the "Service").

By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you are accepting on behalf of a company, you confirm you have authority to bind that company, and "you" means that company.

If we have signed a separate written agreement or order form with you, that agreement controls where it conflicts with these Terms.

Who can use the Service

The Service is for business use by organisations and the people they authorise. To use it you must be able to form a binding contract, be at least the age of majority in your jurisdiction, and not be barred from using the Service under applicable law.

Business only. OyeHello is not intended for personal, household or consumer use.

Authorised users. You may invite team members to your workspace and are responsible for their actions on the account.

Accurate details. You must provide truthful company, billing and verification information, and keep it up to date.

Your account and security

You are responsible for your account, the credentials used to access it, and all activity that happens under it. Keep passwords and API keys confidential and use the security controls available to you.

Safeguard access. Protect your login and API keys, and enable multi-factor authentication where offered.

Notify us. Tell us promptly at [email protected] if you suspect unauthorised access or a security issue.

Responsibility. You are responsible for usage and charges incurred through your account, including by your team and integrations.

The Service and changes to it

OyeHello provides tools to build, run and monitor AI voice agents: agent configuration, telephony and number provisioning, call handling, transcription and analytics, campaign management, and the related dashboards and APIs.

We improve the Service continuously and may add, change or remove features. We will not materially reduce the core functionality of a paid plan during your paid term without notice. Beta or preview features are provided as is and may change or be withdrawn.

Acceptable use

You may use the Service only for lawful purposes and in line with these Terms. You agree not to, and not to let anyone else, do the following.

No illegal calling. Do not use the Service for fraud, scams, impersonation, phishing, or any calling that violates law.

No prohibited content. Do not use agents to harass, threaten or deceive, or to deliver content that is unlawful, hateful or harmful.

Respect consent and registries. Only call people you are permitted to call, and honour do-not-call registers, calling windows and opt-outs.

No abuse of the platform. Do not attempt to breach security, reverse engineer, scrape, overload, resell, or circumvent usage limits or metering.

No misrepresentation. Do not spoof numbers unlawfully or misrepresent the identity or purpose of a call in violation of law.

Calling compliance

Telecom and consumer-protection rules for automated and AI-assisted calling vary by country and region. You are responsible for complying with the rules that apply to your calls, including disclosure, consent, recording and registry requirements.

We provide compliance controls such as calling-window limits, opt-out capture and consent prompts, but enabling and honouring them is your responsibility. Misuse that harms recipients or the network may lead to immediate suspension.

You are solely responsible for the scripts, contact lists and campaigns you run, and for having a lawful basis and any required consent to contact the people you call.

Fees, wallet and payment

The Service is prepaid through your wallet unless we agree otherwise in writing. You add funds to your wallet, and we deduct charges for usage such as call minutes, phone numbers and add-ons as they are incurred.

Usage charges. Per-minute calling, number rental and feature fees are deducted from your wallet balance in real time or per billing cycle.

Taxes. Fees are exclusive of taxes such as GST; you are responsible for applicable taxes on your purchases.

Top-ups and auto-recharge. You can add funds manually or enable auto-recharge; you authorise us to charge your saved method for the amounts you set.

Non-payment. If your balance is insufficient, calls and number rentals may be paused until you add funds.

Refunds. Prepaid balances are generally non-refundable except where required by law or expressly stated in an order form.

Price changes. We may change pricing with reasonable notice. Changes do not apply retroactively to funds already consumed.

Phone numbers and verification

Phone numbers provisioned through the Service are licensed to you for use with the Service, not sold. Provisioning and retention of numbers may require business verification and are subject to carrier and regulatory rules.

Verification required. You may need to complete business verification before buying or porting numbers; provisioning can be delayed or refused where verification is incomplete.

Proper use. Numbers must be used in line with these Terms and applicable telecom rules; misuse can lead to reclamation.

Reclaim on cancellation. Numbers may be released if the rental lapses, the account is closed, or a carrier requires it.

Your data and content

You retain ownership of the data you provide and of the call recordings, transcripts and outcomes generated by your agents ("Customer Data"). You grant us the rights needed to host, process and deliver the Service, and to provide support and security.

We handle Customer Data as described in our Privacy Policy and any data processing agreement. We do not sell Customer Data, and we do not use your call content to train foundation models for other customers.

Our intellectual property

The Service, including its software, models, interfaces and branding, is owned by us and our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your term, subject to these Terms.

You may not copy, modify, distribute, sell or create derivative works from the Service, except as expressly permitted. Feedback you give us may be used to improve the Service without obligation to you.

Third-party services

The Service integrates with third parties such as telephony carriers, payment processors and tools you connect. Your use of those services is governed by their terms, and we are not responsible for their acts, omissions or availability.

Service availability and support

We work to keep the Service reliable and available, but we do not guarantee uninterrupted or error-free operation. Maintenance, carrier issues and factors outside our control can affect availability.

Any service-level commitments apply only if stated in an order form or a separate SLA. Support is provided through the channels described on our website and, for eligible plans, priority support.

Suspension and termination

You can stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay, create risk to the platform or others, or where required by law.

For cause. We may suspend immediately for serious breaches such as unlawful calling, security threats or non-payment.

Effect. On termination your right to use the Service ends and numbers may be released; unpaid charges remain due.

Your data. You can export Customer Data before closure; after closure we delete or anonymise it per our retention schedule and the Privacy Policy.

Disclaimers

The Service is provided as is and as available, to the fullest extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Service will meet every requirement, that call outcomes will be accurate or successful, or that AI-generated speech and transcripts will be error-free. You are responsible for reviewing and supervising your agents.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service.

Our total liability for any claim arising out of or related to these Terms or the Service is limited to the amounts you paid us for the Service in the three months before the event giving rise to the claim. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.

Indemnity

You will defend, indemnify and hold us harmless from claims, damages and costs arising from your use of the Service, your Customer Data, your calls and campaigns, or your breach of these Terms or applicable law, including calling and consent rules.

Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to any mandatory local law, the courts of Bengaluru, Karnataka have exclusive jurisdiction over disputes, and you consent to that venue.

Before filing a claim, you agree to contact us at [email protected] so we can try to resolve the matter informally.

Changes and general terms

We may update these Terms as the product or the law evolves. When we make material changes we will update the date above and, where appropriate, notify you. Continued use after an update means you accept the revised Terms.

Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale.

Entire agreement. These Terms, the Privacy Policy and any order form are the entire agreement between us on this subject.

Severability and waiver. If a provision is unenforceable the rest stays in effect, and not enforcing a right is not a waiver of it.

Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
